PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING TITANLISTING.COM. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TitanListing, Inc., a Delaware corporation ("TitanListing," "we," "us," or "our"), governing your access to and use of the website located at titanlisting.com, including all related subdomains, applications, features, and services (collectively, the "Platform").
By creating an account, submitting a listing, communicating with another User, accessing the Document Vault, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Platform on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" shall include both you individually and the entity.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the Effective Date above and, where appropriate, by email. Continued use of the Platform following notice constitutes acceptance of the revised Terms.
As used in these Terms, the following capitalized terms have the meanings set forth below:
To use the Platform, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) not be a person barred from using services under applicable law; and (d) comply with all applicable federal, state, and local laws and regulations.
You must register for an account to access most Platform features. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at titanlistingadmin@gmail.com of any unauthorized account access.
One person or entity may not maintain more than one active account without prior written approval from TitanListing. We reserve the right to decline registration to any person or entity at our sole discretion.
Upon registration, you will select a primary role: Buyer, Seller, Attorney/Intermediary, or Lender. Your role governs the content surfaced to you and the features you may access. You may be permitted to switch roles subject to any applicable verification requirements. TitanListing reserves the right to approve, suspend, or revoke any role designation at any time.
Certain features — including but not limited to access to the Document Vault, Lender portal, and Attorney/Intermediary marketplace — require Verification. Verification may include identity confirmation, professional license validation, accredited investor qualification review, or other checks performed at TitanListing's discretion. Verification does not constitute an endorsement of any User or guarantee of any User's financial condition, business acumen, or professional standing.
TitanListing utilizes human-assisted Verification for high-stakes features as an intentional design choice. We do not represent that Verification is infallible or that verified Users will perform their obligations in any Transaction.
Sellers represent and warrant that all information contained in a Listing is accurate, truthful, not misleading, and complies with all applicable laws, including securities laws. Sellers are solely responsible for all content in their Listings, including financial information, business descriptions, projections, and supporting documents.
Sellers must promptly update or remove a Listing if circumstances change in a material way — including a business going under contract, closing, or material financial deterioration.
Sellers must disclose, at minimum: (a) the general industry and nature of the business; (b) the asking price or price range; (c) whether the business is currently operating; (d) any known material liabilities, liens, or encumbrances; and (e) whether the business is listed with any other brokerage or marketplace concurrently.
The following categories of Listings are expressly prohibited on the Platform:
Listing fees, if applicable, are set forth on the Platform's Pricing page and are subject to change with advance notice. TitanListing may offer introductory free listing periods, promotional pricing, or early-adopter programs at its sole discretion. Any applicable fees are due as specified at the time of listing creation. All fees are non-refundable unless expressly stated otherwise.
TitanListing reserves the right to remove, modify, or suspend any Listing at any time, with or without notice, if we determine in our sole discretion that the Listing violates these Terms, applicable law, or the integrity of the Platform.
CRITICAL: TitanListing is a technology marketplace and advertising platform. We are not a licensed business broker, M&A advisor, securities dealer, attorney, accountant, financial advisor, or lender. We do not represent Buyers or Sellers in any Transaction. We do not facilitate, negotiate, or participate in Transactions.
TitanListing provides a neutral platform for Sellers to advertise Businesses and for Buyers to discover them. Any Transaction that results from use of the Platform is entered into solely between the Buyer and the Seller (and any engaged Attorney/Intermediary or Lender) without any involvement of TitanListing as a principal, agent, broker, or guarantor.
Nothing in these Terms or on the Platform creates an agency, partnership, joint venture, employment, or fiduciary relationship between TitanListing and any User.
Users are solely responsible for conducting their own due diligence before entering into any Transaction. TitanListing strongly recommends that all Users engage qualified legal counsel and financial advisors.
Buyers agree to: (a) use Platform information solely for the purpose of evaluating a potential Business acquisition; (b) maintain strict confidentiality with respect to any non-public information received through the Platform or through a Document Vault disclosure; (c) not contact a Seller's employees, customers, or suppliers without the Seller's prior written consent; (d) not use Platform access to conduct competitive intelligence against a listed Business; and (e) promptly notify TitanListing if they become aware of any fraudulent Listing.
Buyers who sign a Non-Disclosure Agreement ("NDA") in connection with a Listing are bound by the terms of that NDA independently of and in addition to these Terms. TitanListing is not a party to any NDA between a Buyer and Seller.
TitanListing may maintain a marketplace directory of Attorneys/Intermediaries to assist Buyers and Sellers in locating professional transaction support. Inclusion in the directory is subject to TitanListing's approval process and applicable professional licensure requirements.
TitanListing does not employ, supervise, or control any Attorney/Intermediary listed on the Platform. Listing in the directory is not an endorsement of any Attorney/Intermediary's qualifications, competence, or suitability for any particular engagement. Users who engage an Attorney/Intermediary do so at their sole risk and subject to a separate engagement agreement between the User and the professional.
Attorneys/Intermediaries who register on the Platform represent and warrant that: (a) they hold all required licenses and registrations in their operating jurisdictions; (b) they will maintain such licenses throughout their participation on the Platform; (c) they will comply with all applicable professional conduct rules; and (d) all information in their directory profile is accurate and current.
TitanListing shall have no liability for any acts or omissions of any Attorney/Intermediary, including malpractice, errors, fraud, or breach of fiduciary duty.
Lenders must apply for and receive TitanListing approval before accessing lender-specific features. Approval may be conditioned upon execution of a separate Lender Access Agreement, which governs data use, confidentiality obligations, and permitted activities on the Platform. TitanListing reserves the right to revoke Lender access at any time.
The Document Vault is a secure repository that allows Sellers to upload confidential financial and operational documents and to authorize their controlled release to verified Buyers and/or approved Lenders at defined stages of a Transaction.
TitanListing provides the Document Vault as a technical service only. TitanListing does not review, verify, authenticate, or endorse any documents uploaded to or accessed through the Document Vault. The accuracy, completeness, and authenticity of all documents are solely the responsibility of the uploading Seller.
Lenders and Buyers who access documents through the Document Vault agree to: (a) use the documents solely for the purpose of evaluating a potential Transaction related to the specific Business; (b) maintain strict confidentiality and not share documents with unauthorized parties; and (c) destroy or return documents upon request of the Seller or TitanListing.
TitanListing does not originate, guarantee, broker, or facilitate loans. Any financing obtained by a Buyer in connection with a Transaction is solely between the Buyer and the applicable Lender. TitanListing shall have no liability for any Lender's credit decisions, loan terms, or actions.
By submitting User Content to the Platform, you grant TitanListing a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, and modify your User Content solely for the purpose of operating, providing, and improving the Platform. This license terminates when your User Content is removed from the Platform.
You represent and warrant that: (a) you own or have all necessary rights to the User Content you submit; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; (c) your User Content is accurate and not misleading; and (d) your User Content does not violate any applicable law.
You may not submit User Content that: (a) is false, fraudulent, or misleading; (b) contains viruses, malware, or other harmful code; (c) violates any third-party right; (d) constitutes unsolicited advertising or spam; (e) is defamatory, obscene, or harassing; or (f) violates any applicable law or regulation.
TitanListing reserves the right, but not the obligation, to monitor, screen, remove, or edit User Content at any time for any reason. We are not responsible for any failure to remove, or any delay in removing, harmful or objectionable content.
You agree not to, directly or indirectly:
TitanListing may charge fees for certain services, including Listing fees, Verification fees, premium placement, and featured services. All fees are stated in U.S. dollars and are exclusive of applicable taxes, which are the User's responsibility.
Payments are processed by third-party payment processors. By providing payment information, you authorize TitanListing and its payment processors to charge the applicable fees. TitanListing does not store full payment card data.
All fees paid to TitanListing are non-refundable unless expressly stated otherwise in writing or required by applicable law. TitanListing does not receive or handle Transaction proceeds between Buyers and Sellers; all such payments are made directly between the parties.
TitanListing reserves the right to modify its fee schedule at any time. Fee changes will not apply retroactively to services already paid for.
The Platform may facilitate the exchange of confidential business information between Users. Buyers who receive confidential information about a Business — whether through the Platform, the Document Vault, or direct communication with a Seller — agree to treat such information as strictly confidential and to use it solely to evaluate a potential Transaction involving that Business.
Confidential information may not be disclosed to any third party without the prior written consent of the disclosing Seller, except as required by law or court order. In such event, the receiving User shall provide prompt written notice to the disclosing Seller (to the extent permitted by law) and cooperate with any effort to seek a protective order.
TitanListing's obligations with respect to User data are set forth in our Privacy Policy. TitanListing will use reasonable security measures to protect User data but cannot guarantee that unauthorized third parties will never be able to defeat those measures.
The Platform and all of its content, features, and functionality — including but not limited to the TitanListing name, logo, trade dress, software, code, databases, design elements, and documentation — are owned by TitanListing, Inc. and are protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. This license does not include the right to: (a) reproduce, distribute, or publicly display Platform content; (b) modify or create derivative works; (c) use any TitanListing marks without prior written consent; or (d) use Platform content for any commercial purpose not expressly authorized.
If you believe that any content on the Platform infringes your copyright, please send a written notice to titanlistingadmin@gmail.com containing: (a) your contact information; (b) identification of the allegedly infringing content; (c) identification of the work you claim is infringed; (d) a statement of good faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TITANLISTING DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TitanListing does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any defects will be corrected; (c) the Platform is free of viruses or other harmful components; (d) any Listing is accurate, complete, or current; (e) any Business has the value represented by its Seller; or (f) any Transaction will close or be consummated.
TitanListing does not endorse, recommend, or guarantee any Seller, Buyer, Business, Attorney/Intermediary, or Lender. Information on the Platform is for general informational purposes only and does not constitute legal, financial, tax, accounting, or investment advice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TITANLISTING, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall TitanListing's aggregate liability arising out of or related to these Terms or the Platform exceed the greater of: (a) the total fees actually paid by you to TitanListing during the twelve (12) months preceding the claim; or (b) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the greatest extent permitted by law.
The limitation of liability set forth herein reflects a reasonable allocation of risk between the parties and is a fundamental basis of the bargain between TitanListing and Users. TitanListing would not be able to provide the Platform on an economically feasible basis without these limitations.
You agree to indemnify, defend, and hold harmless TitanListing, Inc. and its officers, directors, employees, agents, attorneys, and successors (collectively, "TitanListing Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
TitanListing reserves the right to assume control of the defense of any matter for which you have indemnification obligations hereunder, at your expense. You may not settle any claim that imposes any obligation on TitanListing without our prior written consent.
The Platform may contain links to third-party websites or services that are not owned or controlled by TitanListing. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. We do not endorse any third-party website or service.
Your interactions with any third-party website or service are governed solely by the terms and policies of that third party. TitanListing shall have no liability for any loss or damage caused by your use of, or reliance on, any third-party content, goods, or services.
These Terms are effective upon your first use of the Platform and remain in effect until terminated.
You may terminate your account at any time by following the account deletion process on the Platform. Termination does not relieve you of any obligations incurred prior to termination.
TitanListing may, in its sole discretion and without notice, suspend or terminate your account and/or your access to the Platform, including all associated Listings and data, if we determine that you have violated these Terms, engaged in fraudulent activity, or for any other reason we deem appropriate. TitanListing shall have no liability to you for any such suspension or termination.
Upon termination for any reason: (a) your license to use the Platform terminates immediately; (b) TitanListing may retain User Content as required by law or as set forth in our Privacy Policy; and (c) Sections 5, 9, 12, 13, 14, 15, 16, 19, 20, and 21 of these Terms shall survive.
THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY.
Before initiating any formal dispute, you agree to first contact TitanListing at titanlistingadmin@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may initiate arbitration as described below.
Except as provided in Section 19.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any Transaction (a "Dispute") shall be resolved by binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims of $250,000 or more), as applicable. The arbitration shall be conducted in English and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitration shall take place in Wilmington, Delaware, or, at either party's election, via video conference. The arbitrator shall apply Delaware substantive law. The parties shall each bear their own arbitration costs, except that TitanListing shall pay any JAMS filing fees that exceed the amount a User would pay to file a lawsuit in state or federal court.
YOU AND TITANLISTING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Notwithstanding the foregoing, either party may bring a claim in small claims court if the claim qualifies. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
You may opt out of the arbitration agreement in this Section 19 by sending written notice to titanlistingadmin@gmail.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a statement that you wish to opt out of arbitration. If you opt out, all Disputes shall be resolved in the courts specified in Section 20.
These Terms and any Dispute not subject to arbitration shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
For Disputes not subject to arbitration and for enforcement of arbitration awards, you consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and waive any objection to jurisdiction or venue in such courts.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features (such as Lender Access Agreements or Attorney/Intermediary Participation Agreements), constitute the entire agreement between you and TitanListing with respect to the Platform and supersede all prior or contemporaneous communications and proposals.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No failure or delay by TitanListing in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any right or remedy on any occasion shall not be deemed a waiver of such right or remedy on any other occasion.
You may not assign or transfer these Terms or any rights or obligations hereunder without TitanListing's prior written consent. TitanListing may freely assign these Terms, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.
TitanListing shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet outages, cyberattacks, or government actions.
These Terms do not create any third-party beneficiary rights. No User of the Platform is a third-party beneficiary of any agreement between TitanListing and any other User.
By using the Platform, you consent to receive electronic communications from TitanListing. You agree that any notices, agreements, or other communications sent electronically satisfy any legal requirement that such communications be in writing.
You agree to comply with all applicable U.S. export control laws and regulations. You represent that you are not located in a country subject to U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.
